Terms of Service of Nordfjord Cattle Care AS

1. Introduction and acceptance of terms
These Terms of Service ("Terms") govern the use of services provided by Nordfjord Cattle Care AS, a company established in Norway, with its registered address at Schweigaards gate 34, 0191 Oslo, Norway ("Nordfjord Cattle Care AS", "we", "us", or "our").
By requesting, booking, receiving, or otherwise using any of our services, the client, customer, or other user ("you" or "Client") confirms that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all service engagements unless otherwise agreed in writing by Nordfjord Cattle Care AS. Any conflicting terms proposed by the Client shall only apply if expressly accepted by us in writing.
2. Scope of services
Nordfjord Cattle Care AS provides professional cattle-related advisory, coordination, and support services, including but not limited to:
- Dairy cow herd management
- Calving support and newborn calf care
- Cattle transport coordination
- Routine health checks and welfare monitoring
- Feed planning and pasture consultation
- Barn setup and livestock handling advice
The exact scope, timing, deliverables, and any special requirements for each assignment shall be set out in a written order confirmation, service agreement, quotation, email confirmation, or other written communication accepted by us.
Unless expressly agreed otherwise, our services are advisory and operational support services and do not replace the responsibilities of the farm owner, operator, veterinarian, transport provider, or other third parties.
We may refuse, suspend, or discontinue services where, in our reasonable judgment, animal welfare, safety, legal compliance, biosecurity, or operational conditions require it.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and timely information relevant to the services requested;
- Ensure that premises, animals, equipment, and working conditions are safe and suitable for the agreed services;
- Maintain all necessary permits, registrations, approvals, and compliance with applicable Norwegian laws and regulations;
- Ensure that animals are handled in accordance with applicable animal welfare requirements;
- Provide access to the premises, animals, records, and personnel as reasonably required for service performance;
- Promptly inform us of any health issues, injuries, contagious disease concerns, pregnancy status, calving complications, transport restrictions, or other material matters affecting the animals or services;
- Follow our reasonable instructions and recommendations relating to animal welfare, safety, hygiene, and handling;
- Not use our services for unlawful, negligent, abusive, or unsafe purposes.
You are solely responsible for decisions made based on our advice or observations, including veterinary decisions, treatment decisions, feeding changes, transport arrangements, and operational changes, unless otherwise agreed in writing.
You shall indemnify and hold harmless Nordfjord Cattle Care AS from claims, losses, damages, fines, costs, and expenses arising from your breach of these Terms, your negligence, your unlawful acts or omissions, or inaccurate information provided by you.
4. Payment terms and conditions
Fees for our services shall be as stated in our quotation, price list, service agreement, or invoice. Unless otherwise agreed, all prices are stated in Norwegian kroner (NOK) and exclusive of applicable taxes, including VAT where applicable.
- Invoices are payable within the payment term stated on the invoice, typically 14 days from invoice date unless otherwise agreed.
- We may require advance payment, deposits, or staged payments for certain assignments.
- Travel time, mileage, accommodation, waiting time, emergency call-outs, and third-party costs may be charged separately if agreed or reasonably necessary for performance of the services.
- If payment is overdue, statutory default interest and any lawful collection costs may be charged in accordance with applicable Norwegian law.
- We may suspend services until all overdue amounts are paid in full.
Any dispute regarding an invoice must be raised in writing without undue delay and no later than the due date, specifying the grounds for the dispute. Undisputed amounts remain payable on time.
5. Cancellation and refund policy
Cancellations must be made in writing by email or other agreed communication method. The following rules apply unless otherwise stated in a specific service agreement:
- Cancellations made more than 48 hours before the scheduled service time may be cancelled without charge, unless non-recoverable costs have already been incurred.
- Cancellations made within 48 hours of the scheduled service time may be charged in part or in full, depending on preparation already undertaken, reserved capacity, and incurred costs.
- If we arrive on site and are unable to perform the service due to circumstances attributable to the Client, the full or agreed minimum fee may be charged.
- Emergency services, time-sensitive calving support, and specially reserved appointments may be non-cancellable or subject to a separate cancellation fee.
Refunds, if any, are issued only where we determine that a refund is contractually or legally required. No refund is due for services already performed, time spent, or third-party costs incurred on your behalf, except where mandatory law provides otherwise.
6. Liability limitations
Nordfjord Cattle Care AS shall perform the services with reasonable care and skill. However, to the fullest extent permitted by applicable law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of production, loss of business, loss of goodwill, or loss arising from animal illness, injury, death, transport delays, feed changes, or operational interruptions, unless caused by our gross negligence or wilful misconduct.
Our total aggregate liability arising out of or in connection with any service, whether in contract, tort, negligence, or otherwise, shall be limited to the amount paid by the Client for the specific service giving rise to the claim, except where mandatory Norwegian law requires otherwise.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by law, including liability for death or personal injury caused by negligence where such limitation is not permitted.
We do not guarantee specific outcomes, including fertility outcomes, calving outcomes, milk yield, weight gain, disease prevention, transport success, or welfare results, as such outcomes depend on numerous factors outside our control.
7. Intellectual property rights
Unless otherwise agreed in writing, all intellectual property rights in materials created by Nordfjord Cattle Care AS, including reports, checklists, templates, recommendations, training materials, photographs, diagrams, and written guidance, remain our property or the property of our licensors.
Upon full payment of all applicable fees, the Client is granted a non-exclusive, non-transferable, revocable right to use the deliverables solely for internal business purposes related to the Client's own cattle operations.
The Client may not copy, distribute, publish, sell, sublicense, modify, reverse engineer, or otherwise exploit our materials beyond the permitted internal use without our prior written consent.
The Client warrants that any materials, data, images, or content provided to us do not infringe third-party rights and that we may use them to perform the services.
8. Data protection and privacy
Nordfjord Cattle Care AS processes personal data in accordance with applicable Norwegian data protection law, including the Norwegian Personal Data Act and the GDPR where applicable.
We may process personal data such as contact details, billing information, communication records, and other information necessary to provide and administer our services, comply with legal obligations, resolve disputes, and improve service quality.
We will only process personal data where there is a lawful basis to do so and will take appropriate technical and organizational measures to protect personal data against unauthorized access, loss, misuse, or disclosure.
Where necessary, we may share personal data with service providers, accountants, legal advisers, authorities, or other third parties to the extent required for service delivery, legal compliance, or legitimate business purposes.

9. Force majeure
Nordfjord Cattle Care AS shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to extreme weather, fire, flood, pandemic, disease outbreak, epidemic restrictions, war, terrorism, civil unrest, strikes, transport disruption, power failure, government action, or failure of third-party suppliers.
In the event of force majeure, our obligations shall be suspended for the duration of the event and for a reasonable recovery period thereafter. We will use reasonable efforts to mitigate the effects and resume performance as soon as practicable.
10. Changes to terms
We may update or amend these Terms from time to time to reflect legal, operational, or business changes. The updated version will be effective from the date stated in the revised Terms or, where required, upon notice to the Client.
Continued use of our services after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using our services.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Norway.
Subject to mandatory consumer protection rules or other mandatory legal provisions, any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Norway, with venue in Oslo unless otherwise required by law.

13. Severability clause
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it shall be severed from these Terms.
The remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be replaced, to the extent permitted by law, by a valid provision that most closely reflects the original intent.
Nordfjord Cattle Care AS reserves all rights not expressly granted in these Terms.
